Share Donation Valued at Over RMB 600 Million Completed: TZTEK Controlling Shareholder Empowers AI Research and Basic Education Development

On July 29, a share donation to the education and technology sector was officially completed. The controlling shareholder of TZTEK, Suzhou Qingyi Investment Co., Ltd. (hereinafter referred to as "Qingyi Investment"), has finished the transfer registration for its gratuitous donation of company shares to public welfare foundations. A total of 8 million TZTEK shares were donated in this transaction. Based on market prices before and after the share transfer, the corresponding value exceeds RMB 600 million. The relevant shares have been transferred to the Suzhou Education Development Foundation and the Suzhou Tsung-Dao Lee Education and Science Foundation respectively.

This donation of shares by TZTEK's controlling shareholder is to support education, technology, and talent cultivation, which represents an important manifestation of the company's active fulfillment of social responsibility. It also illustrates a new pathway for capital market participation in public welfare and support for cultivating innovative talent.

According to the announcement, on November 8, 2025, Qingyi Investment signed Donation Agreements separately with the Suzhou Education Development Foundation and the Suzhou Tsung-Dao Lee Education and Science Foundation. Specifically, Qingyi Investment donated 1.6 million TZTEK shares (accounting for 0.82% of the company's current total share capital) to the Suzhou Education Development Foundation, and 6.4 million TZTEK shares (accounting for 3.29% of the company's current total share capital) to the Suzhou Tsung-Dao Lee Education and Science Foundation. The two donations total 8 million shares, representing 4.11% of the company's current total share capital.

The donation focuses on the fields of education, technology, and talent cultivation. Among these, the shares donated to the Suzhou Education Development Foundation will be used to fund public welfare projects in education, technology, and talent cultivation, providing support for attracting and nurturing talent for Suzhou's education and science undertakings. The shares donated to the Suzhou Tsung-Dao Lee Education and Science Foundation aim to inherit and promote the scientific spirit and patriotic commitment of Mr. Tsung-Dao Lee, support young people in pursuing scientific research, advance international technological and cultural exchanges and youth innovation cooperation, and cultivate more future strategic scientists.

Upon completion of the transfer, the two foundations have formally become shareholders of TZTEK. Both foundations committed not to reduce their holdings of the donated shares within 18 months from the date of completion of transfer registration.

In recent years, as the capital market encourages listed companies to practice social responsibility, a growing number of enterprises are participating in education, research, and talent cultivation through equity donations and the establishment of foundations. This share-based public welfare initiative by TZTEK's controlling shareholder also provides a new practical case for listed company shareholders to give back to society and facilitate the growth of scientific and technological innovation talent.
